题目

Walker-Thomas II is an appeal of Walker-Thomas I. What did the Walker-Thomas II court find to be substantively unconscionable about the contracts at issue?

Is it unconscionable, in your personal view, for the security interest to operate that way, given Professor Ayres’ description of the levying process? Did the Walker-Thomas I court approve of the company’s practice, or did their affirmance have another rationale?

The Walker-Thomas II court found the "add-on" or "cross-collateral" clause in the installment contracts to be substantively unconscionable. This clause stipulated that payments would be prorated across all items purchased, and the company retained a security interest in all prior purchases until every item was fully paid for. The court ruled this provision was oppressive because it allowed the company to repossess, for a minor default on a new item, household goods for which the buyer had already paid nearly the full value. This created a grossly disproportionate forfeiture, unfairly benefiting the seller at the buyer's extreme detriment.

In my view, given Professor Ayres's description of the levying process, this security interest operation is unconscionable. It weaponizes a technical clause to impose a penalty far exceeding the actual debt, exploiting a buyer's likely lack of understanding and necessity for basic goods.

The Walker-Thomas I court did not approve of the company's practice. Its affirmance was based on a narrow, procedural rationale: that the trial judge had not made a specific finding of unconscionability, and thus the appellate court could not overturn the judgment on that undeveloped ground. The Walker-Thomas IIdecision later directly addressed and condemned the clause's substantive unfairness.
